Terms of Service

These Terms of Service, including any policies, rules and other documents that are expressly incorporated herein by reference (collectively, the "Terms"), sets forth a legally binding agreement between you and Aureon Care, LLC ("Aureon Care", "we", or "us"). These Terms govern your access to and use of any Aureon Care websites, applications, software, products and services that link to these Terms, including the Aureon Care mobile application (the "App") and the website located at aureon.care (the "Site"), and any content, information, features, capabilities, functionality, products and services offered on or through the App and the Site (collectively, the "Services"), whether as a guest or a registered user. Please read these Terms carefully before accessing or using the Site or any Services.
1. Acceptance of Terms
By using any of the Services (whether or not you have an Aureon Care account or Subscription (as defined below) to any particular Services), or by clicking to accept or agree to these Terms when this option is made available to you, you accept and agree to be bound by these Terms and to abide by all applicable laws with regard to your use of the Services. Except as specified herein, these Terms apply to any use of the Services, including, without limitation, when you: (i) interact with us on or through the App and/or the Site; or (ii) create and use an Aureon Care account. In order to use the Services, you must first agree to these Terms. If you do not agree to be bound by these Terms and to abide by all applicable laws, you may not use any of the Services. In addition to these Terms, your use of certain Services may require you to accept additional terms and conditions applicable to such Services, including any additional terms and conditions applicable to Subscriptions (collectively, "Additional Terms"). When using particular Services, you shall be subject to any rules or policies applicable to such Services that may be posted or made available to you through the Services from time to time ("Aureon Care Policies"). The Additional Terms and Aureon Care Policies are incorporated and made a part of these Terms by this reference.
2. Changes to Terms
Aureon Care reserves the right, at its sole discretion, to change, modify, update or supplement these Terms or any Additional Terms that apply to a Service, at any time, including to reflect changes to the law or changes to our Services. When these changes are made, Aureon Care will make a new copy of these Terms available on the App and the Site, and any Additional Terms will be made available to you from within, or through, the affected Services. All changes are effective immediately when we post them or make them available to you, and apply to all access to and use of the Services thereafter. You acknowledge and agree that if you use the Services after the date on which these Terms have changed, Aureon Care will treat your use as acceptance of the updated Terms. It is your responsibility to check these Terms periodically for changes. Your continued use of the Services following the posting of any changes will mean that you accept and agree to the changes. If any changes are unacceptable to you, you may stop using the Services and, if applicable, cancel your Subscription.
3. Privacy Statement
When you access the App or the Site or use any of the Services, you provide us with different types of information. Please read our Privacy Statement which explains how we collect, use and share information through the App, the Site and the Services, as well as your choices regarding these activities. The Privacy Statement applies to use of the App, the Site and the Services, and its terms and conditions are hereby incorporated into and made a part of these Terms by this reference.
4. Eligibility to Use the Services
The Services are intended for adults in the United States. You may not use the Services if you are (i) not of legal age to form a binding contract with Aureon Care or (ii) barred from receiving or using the Services under the laws of the jurisdiction in which you are resident or from which you use the Services. By using the Services, you represent that you satisfy the requirements set forth herein. You must be at least 18 years of age to purchase or use any Services.
5. Account Creation
You may need to create an Aureon Care account in order to access and use the Services. To protect your Aureon Care account, please keep your username and password strictly confidential. You are solely responsible for maintaining the confidentiality of your username, password and other account information, and are fully responsible for all activities performed through use under your Aureon Care account. If required, you will create a username and password for your Aureon Care account. You must provide accurate, complete and current registration information when you register and create an Aureon Care account. In consideration of your use of the Services, you agree to: (i) provide true, accurate, current, and complete registration information about yourself as prompted by the Service; and (ii) maintain and promptly update the registration information to keep it true, accurate, current and complete. If you provide any registration information that is untrue, inaccurate, not current or incomplete, Aureon Care has the right to limit, suspend or terminate your account and your access to the Services (or any portion thereof). You agree to immediately notify Aureon Care of any unauthorized use of your Aureon Care account and ensure that you exit from your account at the end of each session. Aureon Care will not be liable for any damages arising from your failure to comply with this Section.
6. Subscriptions
You may purchase access to certain Services and Aureon Care Content on a subscription basis ("Subscriptions"). Subscriptions automatically renew as set forth below until cancelled in the subscription settings section of your Aureon Care account page. We will notify you if the price of a Subscription increases and, if required, seek your consent to continue. You will be charged no more than twenty-four (24) hours prior to the start of the latest Subscription period. If we cannot charge your payment method for any reason (such as expiration or insufficient funds), and you have not cancelled the Subscription, you remain responsible for any uncollected amounts, and we will attempt to charge the payment method as you may update your payment method information. This may result in a change to the start of your next Subscription period and may change the date on which you are billed for each period. Aureon Care reserves the right to cancel your Subscription if we are unable to successfully charge your payment method to renew your Subscription. When your Subscription ends, you will lose access to the Services and Aureon Care Content that require a Subscription.
Prices and Refunds
For Subscriptions, you will be charged the rate stated at the time of purchase (plus applicable taxes) at the beginning of each billing period of your Subscription via the payment method that you have provided to Aureon Care. You are solely responsible for ensuring that your billing and payment information is correct to prevent your Subscription from being cancelled.
Prices and terms for Subscriptions may change at any time. The prices and terms in effect as of the Subscription Start Date or the date your Subscription last renewed (as applicable) shall remain in effect for the duration of the applicable Initial Subscription Period or Renewal Subscription Period (as the case may be), provided that new or modified prices and terms may apply to renewals or new Subscriptions. Aureon Care will provide you with reasonable notice of any updates or changes in prices or terms before they become effective. If you do not want to renew your Subscription under such new or modified prices or terms, you may cancel your Subscription as described herein.
All refunds of any pre-paid Subscription fees that you may be entitled to receive pursuant to these Terms will be credited to the then-current payment method associated with your Aureon Care account. Refunds are not based on account usage. If you terminate your Subscription and Aureon Care account for Aureon Care's material breach of these Terms after providing Aureon Care with a forty-five (45) day cure period during which time Aureon Care fails or is otherwise unable to cure such material breach, Aureon Care will refund to you any pre-paid Subscription fees on a pro-rated basis.
Initial Subscription Period
Once your initial Subscription payment is processed, effective as of that date (the "Subscription Start Date"), your Subscription shall immediately commence, and you can access the applicable Services and Aureon Care Content. Your Subscription shall commence on your Subscription Start Date and continue to be effective for an initial period of twelve (12) months following your Subscription Start Date (the "Initial Subscription Period"). If you are a first-time Subscriber to Aureon Care, you may cancel your Subscription after 3 months after your Initial Subscription Period for a full refund. If you are not a first-time Subscriber or if you cancel your Subscription after 3 months of your Initial Subscription Period, you will not receive a refund of any kind or for any amount, but you shall continue to retain access to the applicable Services and Aureon Care Content for the remainder of your Initial Subscription Period, after which your Subscription will be cancelled.
Automatic Renewal of Subscription
If you do not cancel your Subscription within your Initial Subscription Period and you elected monthly billing upon initial Subscription, then your Subscription shall renew automatically for additional, successive one (1) month periods (each, a "Monthly Renewal Subscription Period"), and your Subscription shall continue on a month-to-month basis as described herein until cancelled in accordance with these Terms. During any Renewal Subscription Period, you may cancel your Subscription at any time prior to the five (5) day period before the next Subscription renewal date, provided that you shall not be entitled to nor receive a refund of any kind or for any amount. If you cancel your Subscription at any time during a Renewal Subscription Period, you shall continue to retain access to the applicable Services and Aureon Care Content for the remainder of the then-current Renewal Subscription Period. If you cancel your Subscription at any time within the five (5) day period before the next Subscription renewal date, your Subscription shall renew automatically for one (1) additional Renewal Subscription Period, after which your Subscription will be cancelled.
If you do not cancel your Subscription within your Initial Subscription Period and you elected annual billing upon initial Subscription, then your Subscription shall renew automatically for additional, successive one (1) year periods (each, an "Annual Renewal Subscription Period"), and your Subscription shall continue on an annual basis as described herein until cancelled in accordance with these Terms.
7. Description of the Services
The Services include access to certain portions of the Site and certain proprietary services, and certain Services may only be accessible or used via the App. Unless explicitly stated otherwise, each new feature that augments or enhances the current Service shall be subject to these Terms. You acknowledge and agree that the Services are provided "AS-IS" and are based on the current state of healthcare technology and practice at the time of purchasing the Services. You acknowledge and agree that the form and nature of the Services which Aureon Care provides may change from time to time without prior notice to you, and that Aureon Care may stop (permanently or temporarily) providing certain Services (or any features within the Services) to you or to users generally at Aureon Care's sole discretion, without prior notice to you. You may stop using the Services at any time. You do not need to specifically inform Aureon Care when you stop using the Services unless you are requesting closure of your account. Aureon Care assumes no responsibility for the use of Services in any manner not contemplated by these Terms, or any use of the Services in violation of these Terms.
In order to use the Services, you must obtain Internet access, either directly or through devices that access web-based content, and pay any service fees associated with such access. You are solely responsible for paying such service fees and obtaining all equipment necessary to make such Internet connection, including a computer and modem or other access device. You are solely responsible for providing such equipment. Aureon Care is not responsible for the payment of any medical fees or co-pays associated with some of the Services.
8. The Aureon Care Mobile Application
License Grant
Subject to these Terms and your compliance with these Terms, Aureon Care grants to you a limited, personal, non-transferable, non-assignable, non-sublicensable, non-exclusive, terminable and revocable license to: (i) download and install the App on a single personal mobile device owned or controlled by you (or, if you downloaded the App from the Apple App Store, on any Apple-branded product running the iOS operating system that you own or control); and (ii) access and use the App as described in these Terms solely for your own personal, non-commercial purposes in accordance with these Terms and the Aureon Care Policies. No license is granted to any third party and you have no right to make available to anyone access to the App or the Services. Except as otherwise provided in these Terms, you have no right or license to use the App or Services for the benefit of another. You do not have any rights beyond what is granted to you in these Terms. Aureon Care reserves all rights not expressly granted to you in these Terms.
Consent to Collection and Use of Technical Data
By accessing and using the App, you expressly acknowledge and agree that Aureon Care may collect and use technical data including, without limitation, data concerning your mobile device, application software and peripherals to facilitate the provision of updates and other support to you, and for product improvement and quality assurance purposes. Any collection and use of such technical data is governed by our Privacy Statement.
Errors, Bugs and Updates
You acknowledge that the App is provided on an "AS IS" basis and may contain errors. Aureon Care does not and will not give any warranty or guarantee regarding the App or whether the App will be available or operate without error. Aureon Care will not be liable if, for any reason, all or any part of the App is unavailable. Aureon Care does not guarantee uninterrupted access to the App or availability of the App. You acknowledge that your access to the App may be interrupted for scheduled or emergency maintenance purposes, to fix bugs, for security, or other reasons. Access to the App may also be interrupted for reasons outside of Aureon Care's reasonable control. You acknowledge that the App and any information made available via the App may contain errors, including typographical errors, inaccuracies, and omissions. Aureon Care reserves the right to, at any time without notice, correct any errors, inaccuracies or omissions.
